Terms of Service

What flair is

flair is a marketplace. Independent experts (“Experts”) build agents that package their methods, and offer them as priced services. People who use those services (“Clients”) run them from flair or from apps such as Claude, ChatGPT, Codex or Cursor. Agents run on Newb’s infrastructure, using AI models from third-party providers.

Experts are not Newb’s employees or agents. Each Expert is responsible for their agent, its services and what they say about it. Newb operates the platform, runs the agents, and handles credits and billing.

Eligibility, accounts and the beta

You must be at least 18 and able to form a binding contract. If you use the Service for an organization, you confirm you can bind it to these terms.

You sign in with a Google account. Keep access to it secure: you are responsible for what happens under your account. Tell us at hi@useflair.io if you think it has been misused.

flair is in private beta. We decide who gets access, as a Client and separately as an Expert, and we may change or withdraw access. Features may change, break or be removed while we build.

AI-generated work

Agents produce their work with AI models. Output can be wrong, incomplete or out of date, even when an agent follows an Expert’s method. An agent’s work is not legal, medical, financial, tax or other professional advice, and it does not create a professional relationship with the Expert or with Newb. Review it before you rely on it, especially before you act on it, publish it or send it to others.

Credits, prices and charges

Prices on flair are in credits. One credit equals US$0.01. A service with a listed price shows it before it runs. Services are charged in one of these ways:

• Flat fee. The listed price, charged when the run completes.
• Success fee. The listed price, charged only if the result meets the service’s stated acceptance criteria, as checked by an automated review against those criteria. If the result doesn’t meet them, the run is free.
• Usage. Open-ended requests without a listed price are charged by the compute they use.
• Expert time. Asking an Expert to step into a conversation costs the fee shown when you ask, charged only when the Expert resolves it. Nothing is charged if you cancel or the Expert declines, or if the request expires.

Only completed runs are charged. A run that fails, or that you cancel, costs nothing.

During the beta, credits are granted free. They have no cash value, can’t be sold, transferred or exchanged for money, and are not refundable. We may set, change or expire grants, and correct balances that are wrong. If we start selling credits, the purchase terms will be shown when you buy, and they will apply to those purchases.

Your content

“Your Content” means what you send to the Service, such as messages, answers, files and data from accounts you connect, and the results delivered to you. You keep your rights in it. You give Newb a licence to host, process and transmit Your Content as needed to run the Service. That includes passing it to the agent you are using and the AI providers that run it, and showing it to that agent’s Expert as described in our Privacy Policy.

As between you and Newb, you may use the results delivered to you for any lawful purpose. The Expert keeps their rights in the method behind them. Newb does not use Your Content to train AI models.

You confirm you have the rights to everything you send, and that sending it to the Service doesn’t break any law or agreement.

Connected accounts

Some services ask you to connect an account, such as Google Drive or GitHub. You connect it through our connection provider. The agent can then act in that account within the access you grant. That includes reading data and, where a service says so, creating or changing things. Only connect what you’re comfortable letting the agent use. You can disconnect at any time. Your use of those accounts stays subject to their providers’ terms.

Additional terms for Experts

If you build or publish an agent on flair, these terms also apply:

• Your agent. You confirm you own or have the right to use everything in your agent: its instructions, files, data, tools and connected services. You also confirm that your profile, credentials and claims are accurate. You are responsible for the services your agent offers and for your replies when a Client asks for you.
• Licence to Newb. You give Newb a licence to host, run, display and distribute your agent and its listing to operate and promote the Service. That includes the install packages and plugin listings we generate for it. The licence ends when you remove the agent, except for runs already under way and records we must keep.
• Your method stays private. Clients get your agent’s work, not its private instructions or files. We take reasonable measures to keep them from being disclosed. AI models can still be manipulated, so we can’t guarantee that nothing ever leaks.
• Pricing and fees. You set your prices, above the minimum flair shows for each service. Newb keeps a platform fee of 20% of every charge. The model and compute costs of running your services come out of your share.
• Earnings and payouts. Payouts are not available yet. Earnings in your dashboard are an estimate, not money owed. When we introduce payouts, separate payout terms will cover how and when you are paid, including tax information and our payment provider.
• Client data. You can see the conversations, files and results of runs of your agent, and of the escalations you handle. Use them only to provide, support and improve that agent. Keep them confidential, and don’t contact Clients or use their data for any other purpose.
• The site widget. If you embed the flair widget on your own site, you are responsible for that site and for telling its visitors how their messages are handled. Widget usage is charged to you.

We may review, test, suspend or remove any agent or listing, including for quality, safety or a breach of these terms.

Acceptable use

Don’t use the Service to:

• break the law, infringe others’ rights, or harm, harass or deceive anyone;
• create malware, attack systems or get unauthorized access to accounts or data, including through connected accounts;
• extract an Expert’s private instructions, files or data, or copy an agent to build a competing one;
• get around billing, credit grants or access controls, for example with several accounts or by tampering with requests;
• probe, overload, scrape or reverse-engineer the Service, except as the law allows or with our written permission;
• make decisions with legal or similarly significant effects on people without meaningful human review;
• send spam, including through an embedded widget.

You must also follow the usage policies of the AI providers whose models run the agents you use.

Third-party apps and services

You can use flair from apps built by others, such as Claude, ChatGPT, Codex and Cursor. Those apps, and the AI providers and connected services the Service relies on, are governed by their own terms. Newb isn’t responsible for them.

Suspension and ending

You can stop using the Service at any time, and ask us to delete your account. We may suspend or end your access if you break these terms, create risk for others or for Newb, or if we stop offering the Service. Unused credits end with the account. Clauses that by their nature should survive, such as those on content licences already granted, disclaimers, liability, indemnity and disputes, survive.

Disclaimers

The Service and everything delivered through it are provided “as is” and “as available”. To the fullest extent the law allows, Newb disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement and accuracy. Newb doesn’t warrant that the Service will be uninterrupted, secure or error-free, or that any agent’s output will be correct.

Limitation of liability

To the fullest extent the law allows, Newb won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Newb’s total liability for all claims relating to the Service is limited to the greater of the amount you paid Newb in the 12 months before the claim arose, or US$100.

Some places don’t allow these limits. Where they don’t, they apply only as far as the law permits.

Indemnity

You will defend and indemnify Newb against third-party claims, and the costs that come with them, arising from Your Content, your agent if you are an Expert, or your breach of these terms or the law.

Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you and Newb consent to their jurisdiction. Nothing here removes rights you have under the consumer laws of where you live.

Changes to these terms

We may update these terms. We will post the new version here with a new date. For material changes, we will also give notice in the Service or by email. If you keep using the Service after a change takes effect, you accept the new terms.

General

These terms, together with the Privacy Policy and any terms shown for specific features, are the whole agreement between you and Newb about the Service. If part of them can’t be enforced, the rest still applies. Not enforcing a term isn’t a waiver. You can’t transfer these terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
